The Board of Directors of BancTrust Financial Group, Inc. (the “Company”) makes sound corporate governance a high priority. The Board takes its fiduciary responsibility to represent the shareholders and oversee the management of the Company’s business very seriously and sets high standards for itself and for the Company’s officers and employees. In order to fulfill its responsibilities, the Board of Directors follows the dictates of Alabama corporate law, applicable federal and state securities laws and the listing standards of the Nasdaq Global Select Market. In addition, the Board has adopted, and the Company operates under, guidelines contained in the Company’s Code of Ethics and various committee charters and policies. These internal guidelines are subject to periodic modification as the Board of Directors deems appropriate or as required by applicable laws, regulations and listing standards.
